These Terms of Service ("Terms") govern your access to and use of the Dofamine payment orchestration platform (the "Service"). By creating a Dofamine account, clicking "I agree", or using the Service in any way, you ("Merchant", "you") enter a legally binding contract with Dofamine. If you act on behalf of a company, you confirm that you are authorised to bind that company.

1. Acceptance and updates

These Terms come into force on the date your account is created and remain in force until terminated under §11. Material changes are notified via dashboard banner and email at least 30 days before they take effect; continuing to use the Service after that date constitutes acceptance. The Russian version (if any) is informational; the English text governs.

2. Eligibility

The Service is offered to legal entities established in the European Economic Area, the United Kingdom, Switzerland, Canada, Australia, Japan, Singapore, the United Arab Emirates, and other jurisdictions Dofamine may add from time to time. Sole traders are accepted at Dofamine's discretion. Natural persons acting as consumers are not eligible.

Dofamine is a Payments-as-a-Service ("PaaS") platform that:

Dofamine is not an acquirer, e-money institution, payment institution, or deposit-taking institution. Funds may transit through Dofamine-controlled accounts only for technical settlement; legal title remains with the Merchant or the relevant connector at all times.

4. KYB and ongoing due diligence

Before activation we collect, verify and store:

We screen all collected names against the consolidated EU, UN, OFAC, HMT and Swiss SECO sanctions lists, plus the OpenSanctions PEP dataset.

You agree to (a) refresh the above documents annually, (b) inform Dofamine within 10 business days of any change in ownership ≥ 10 %, change of director, change of registered address, or material change in business model, and (c) respond to enhanced due-diligence requests within 14 days.

5. Sanctioned jurisdictions

Dofamine does not onboard, and will block, Merchants and end-customers in or controlled from: Cuba, Iran, North Korea (DPRK), Syria, the Russia-occupied regions of Ukraine (Crimea, Donetsk, Luhansk, Kherson, Zaporizhzhia), and any jurisdiction added to the EU consolidated list during the term of these Terms.

6. Prohibited activities

You may not use the Service for:

  1. unlicensed financial services, money transmission, or e-money issuance;
  2. unlicensed gambling, lotteries or sweepstakes;
  3. adult content involving minors, non-consensual content, or content prohibited in the Merchant's or Dofamine's jurisdiction;
  4. firearms, ammunition, or weapons subject to export control;
  5. controlled substances, prescription drugs without a verified pharmacy licence;
  6. multi-level marketing, pyramid schemes, "get-rich-quick" programmes;
  7. unsolicited bulk messaging (spam) and any negative-option billing;
  8. trade in stolen goods, counterfeits, or items infringing third-party IP;
  9. activities that breach the Merchant's connector agreements (Stripe ToS, YooKassa rules, etc.) or applicable card-scheme rules.

A non-exhaustive list of prohibited MCC codes is published in your dashboard and updated from time to time.

7. Fees

Dofamine charges a percentage of every successful transaction plus a fixed per-transaction fee. Exact rates depend on your assigned risk tier (low / mid / high) and are shown in Dashboard → Settings → Billing. We may add: (a) chargeback handling fees, (b) representment fees, (c) cross-border FX surcharges, (d) connector pass-through fees, and (e) reasonable monthly minimums. Fees are debited from incoming transaction flow before settlement.

We may revise fees with 30 days' notice; price increases above 25 % entitle you to terminate without penalty within those 30 days.

8. Reserves

To cover potential refunds, chargebacks and fraud losses we may apply a rolling reserve of 0–10 % of gross volume held for up to 180 days. Reserve percentages are set per risk tier and shown in your dashboard. We may also apply temporary holds where transaction monitoring or chargeback rates require it.

9. Settlement and payouts

Successful transactions, less fees and reserves, are settled to the bank account or wallet you nominated, on the schedule indicated in your dashboard (typically T+3). Minimum payout amounts may apply. Payouts are made in the currency of the transaction unless an FX conversion is requested in writing.

You are responsible for issuing invoices and for any indirect taxes (VAT, GST) on your sales; Dofamine does not act as your tax representative.

10. Chargebacks and disputes

You agree to:

Persistent breach of the chargeback ratio is grounds for suspension or termination under §11.

11. Suspension and termination

Either party may terminate for convenience with 30 days' written notice. Dofamine may suspend or terminate immediately if:

On termination we (a) stop accepting new transactions, (b) continue to process refunds and chargebacks for 180 days, and (c) release any reserve balance after that period less any sums owed.

12. Confidentiality and data protection

Each party shall keep confidential all non-public information of the other party. Personal data is processed in accordance with our Privacy Notice and Data Processing Agreement (DPA), both of which are part of these Terms. The DPA satisfies Article 28 GDPR.

13. Intellectual property

The Service, including its API, dashboard, brand and documentation, is and remains the property of Dofamine. We grant you a non-exclusive, non- transferable, revocable licence to use it solely for processing payments under these Terms. You retain all rights to your content; you grant us a licence to process such content as required to provide the Service.

14. Warranties and disclaimers

The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, nor that any specific routing strategy will maximise authorisation rates. Connector outages, scheme downtime, and force-majeure events are excluded from any availability commitment.

15. Liability cap

To the maximum extent permitted by law, Dofamine's aggregate liability under or in connection with these Terms is limited to the fees paid by you to Dofamine in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, loss of data, or loss of goodwill.

The cap does not apply to (i) your payment obligations, (ii) breach of confidentiality, (iii) intentional misconduct, (iv) IP infringement, or (v) liabilities that cannot lawfully be excluded.

16. Indemnity

You will defend and indemnify Dofamine against any third-party claim arising from (a) your breach of these Terms, (b) your products or services, (c) chargebacks, fines or fees imposed by connectors or schemes due to your activity, or (d) your infringement of any third-party right.

17. Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including war, acts of terror, pandemics, government sanctions, internet outages, or denial-of-service attacks affecting upstream providers. Payment obligations are not suspended.

18. Assignment

You may not assign these Terms without our prior written consent. We may assign to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.

19. Notices

Operational notices are delivered via the dashboard and the email address on file. Legal notices to Dofamine must be sent to legal@dofamine.io with a copy to our registered address in Cyprus.

20. Governing law and venue

These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws rules. The courts of Nicosia, Cyprus, have exclusive jurisdiction, save that Dofamine may bring proceedings in any jurisdiction where you have a place of business in order to enforce a judgment or to seek injunctive relief.

21. Miscellaneous

These Terms, together with the Privacy Notice, DPA, AML Policy and any order form, constitute the entire agreement between the parties. If any provision is held unenforceable, the remainder remains in full force. Failure to enforce a provision is not a waiver. Sections 7-11, 13-17 and 20 survive termination.
